Advising Mackprang on adding Hannover Finanz as new majority shareholder
Mackprang Holding GmbH & Co. KG, the parent company of the Schlemmer Group and of several logistics companies, added Hannover Finanz Group, specializing in mid-sized companies, as shareholder taking over 56 percent of its shares in a capital increase. Mackprang was advised by Heuking Kühn Lüer Wojtek.
The Schlemmer Group designs and manufactures protection systems and mechatronic systems for the automotive, machine building and white goods industries. The company has 16 subsidiaries and holding companies and operates in 34 countries. In 2011, it generated revenue of EUR 171 million with about 1,600 employees. The logistics division operates in contract logistics and import and export shipping. Currently, it generates revenue of about EUR 40 million.
Both divisions are part of Mackprang Holding GmbH & Co. KG, which is now joined by Hannover Finanz Group following the takeover as majority shareholder. The acquisition price was not disclosed.
The transaction will be closed upon entry of the funds companies in the Commercial Register.

Background information:
Hamburg-based family-owned company Mackprang has a rich tradition. Established in 1878 as an agricultural trading company, the company increasingly pursued a diversification strategy in the 1960's. In 1963, Mackprang acquired an interest in Schlemmer GmbH, taking over 100 percent of the shares in 1979. In the 1980's and 1990's, Mackprang expanded its activities by establishing the logistics companies Süderelbe Logistik GmbH, CM Eurologistik GmbH and UNISPED Logistik GmbH. The companies operate mainly in contract logistics, importing and exporting and other shipping services.
The original trading company C. Mackprang jr. GmbH & Co.KG continues its trading operations with agricultural raw materials as fully independent company with the existing shareholders.
