Advising SeniVita on issuing quoted profit participation certificates
SeniVita Sozial gGmbH intends to strengthen its own equity basis and thus create flexibility for growth financing. This is to be achieved by issuing profit participation certificates, at which the non-profit enterprise was repeatedly advised by Heuking Kühn Lüer Wojtek. The advice focused in particular on drafting the required prospectus, which was approved by the Federal Financial Supervisory Authority (BaFin).
In the past few years, SeniVita had repeatedly issued interest-bearing profit participation rights, which were designed such that they could be booked as equity in the balance sheet. In May 2011, the company had additionally issued a bond on the German capital market as first non-profit company and received an award as best issuer of an SME bond in Germany. The team led by Kuthe had also advised on that transaction.
SeniVita Sozial gGmbH is part of SeniVita Group and the largest private carrier of facilities for senior citizens and the handicapped, children's health care, and education in northern Bavaria.
