Advising the Supervisory Board of Hamburger Sport-Vereins e.V.
Heuking Kühn Lüer Wojtek was retained in 2011 by the Supervisory Board of Hamburger Sport-Verein e.V. (HSV) to review the activities of the Board of Management. Particularly contracts with service providers entered into by the Board of Management led by former CEO Bernd Hoffmann between 2003 and 2010 were disputed.
Among other things, a lack of activity reports by commissioned agencies was criticized. In addition, Heuking Kühn Lüer Wojtek examined whether the Board of Management had been acting in accordance with the stipulations of HSV's articles of association. For this purpose, an extensive list of questions was initially submitted to the former Board of Management members. Subsequently, a legal opinion on liability issues was drafted.
"We assisted the Supervisory Board in exercising its supervisory function. As a result, the relevant Board of Management activities underwent a final review," said Dr. Andreas Walle, Partner of the law firm in Hamburg. The firm was also retained to advise the Supervisory Board on conveying the results of the review to the General Assembly on January 15, 2012. The members formally approved the actions of Hoffmann and the other Board of Management member, Katja Kraus. The Supervisory Board will not file any civil complaints against the two, either.
