Heuking advises ad pepper media International N.V. on acquiring a stake in solute Holding GmbH & Co. KG

Advised by a Heuking team led by Dr. Alexander Schott, performance marketing specialist ad pepper media International N.V. acquired a stake of 25.64% in solute Holding GmbH & Co. KG. In exchange, the sellers will receive 1,693,244 newly issued shares in ad pepper media International N.V., created via a capital increase. On the Dutch side, the transaction was advised by the law firm of NautaDutilh (team led by Maarten Buma).

The transaction aims to establish a publicly traded industry leader in performance marketing and digital marketplaces (price comparison) that is both inventive and well-funded.

ad pepper media International N.V., based in Amsterdam and Nuremberg, was established in 1999 and has been publicly traded since 2000. As the holding company of ad pepper group, it is one of Europe’s leading performance marketing providers, comprising the Webgains, ad agents, and ad pepper segments. Employing over 250 people, ad pepper group generated gross sales of some EUR 100 million in the past fiscal year.

solute Holding GmbH & Co. KG is a leading operator of price comparison websites in the German-speaking market. Headquartered in Karlsruhe, it operates the billiger.de and shopping.de portals. The company most recently reported sales of around EUR 33 million with more than 170 employees.
