TC Holding and Enapter, advised by HEUKING, submit mandatory bid to MARNA Beteiligungen AG shareholders
A Cologne-based HEUKING team led by Dr. Thorsten Kuthe and Miriam Schäfer legally advised Technology Center Holding GmbH (TC Holding) on a mandatory (cash) bid to the shareholders of MARNA Beteiligungen AG, preceded by the acquisition of control accomplished by the purchase of 452,000 shares (corresponding to 30.12% of shares and voting rights). Following the conclusion of a pooling agreement with Enapter AG, TC Holding and Enapter subsequently joined forces to form a bidding consortium and jointly published a bidding document for the mandatory (cash) bid with an offer price of EUR 3.00 per share.
TC Holding is an investor based in Heide (Schleswig-Holstein) that focuses on investments while also managing its own assets. It is a member of TC Hydraulik group, a family-owned company with over 35 years of experience in the manufacture and servicing of fluid systems for the oil and gas industries. Heidelberg-based Enapter AG serves as Enapter group’s operational holding company. It is a management and investment firm in the field of renewable energy, with an emphasis on hydrogen/electrolysis. Its patented and proven anion exchange membrane (AEM) technology enables mass production of low-cost electrolyzers for the production of green hydrogen at any scale.
MARNA Beteiligungen AG is an investment firm listed on Hanseatic Stock Exchange’s Regulated Market in Hamburg.
The mandatory bid was made in light of the contribution, by way of a capital increase in kind, of H2 Core Systems GmbH (H2Core), whose shareholders include TC Holding and Enapter, to MARNA Beteiligungen AG. H2Core is a green hydrogen system integrator that specializes exclusively in solutions for the production, storage, and use of green hydrogen.
