Heuking Kühn Lüer Wojtek advises IT service provider amalphi again on capital increase
amalphi AG is planning a capital increase with subscription right of up to EUR 812,497.50. Dr. Thorsten Kuthe, Partner at Heuking Kühn Lüer Wojtek's Cologne office, and lawyers Sarah Winkel and Kristian Franz provided legal advice to the IT service provider again in preparing and carrying out the capital increase. The funds will be required to improve the company's financial situation and to build up liquidity and equity.
In September, Management and Supervisory Board of amalphi AG had resolved to carry out a capital increase from authorized capital. The IT service provider thus intends to increase the company's capital stock by up to EUR 541,665. Shareholders are granted the statutory subscription right in form of an indirect subscription right. The subscription price is EUR 1.50 per share, the total volume of the capital increase is thus up to EUR 812,497.50. The company has already received investor requests for 250,000 shares.
The Cologne-based capital market law team led by Dr. Thorsten Kuthe had already advised the IT service provider on the first capital increase in the first half of 2012. The capital increases are part of the company's restructuring and new focusing. The IPO of amalphi AG, one of Germany's leading IT service providers, took place on August 18, 2011. Since their initial listing, the company's shares have continuously been traded on Deutsche Börse AG's electronic trading system XETRA.
