Heuking Kühn Lüer Wojtek advises Odewald KMU on the acquisition of univativ GmbH & Co. KG

Heuking Kühn Lüer Wojtek provided counsel to Odewald KMU, a company specializing in the holding of mid-sized companies, on the acquisition of a majority interest in Darmstadt-based univativ GmbH & Co. KG. As IT support service provider, univativ GmbH & Co. KG specializes in providing qualified professionals (IT, Commercial, Engineering) for project-related tasks and for time-limited support of operative daily business primarily to large corporations and larger mid-sized companies. univativ GmbH & Co. KG offers a pool of employees of handpicked young potentials in order to bridge short-term bottlenecks in companies in cost-effective and flexible manner. The company, established in 1998, currently employs more than 600 employees. In addition to the registered office in Darmstadt, univativ GmbH & Co. KG has offices in Cologne, Düsseldorf, Hamburg, Karlsruhe, Mannheim, Munich, Nuremberg and Stuttgart and generated revenue in excess of EUR 20 million in 2011.

The Odewald KMU fund, issued with a volume of about EUR 150 million at the end of 2008, invests in medium-sized, established and high-growth companies in German-speaking countries. Investors in Odewald KMU are mainly German institutional investors, but also include asset management companies and private investors.

For Heuking Kühn Lüer Wojtek, this is already the sixth successful acquisition in which the Cologne-based M&A team provided lead counsel to Odewald KMU. In 2009, Helmut Klingel GmbH, specializing in CNC milling of special materials, and the Ebert HERA group, which offers industrial services in piping and plant construction, were acquired. In 2010, Heuking Kühn Lüer Wojtek provided counsel to Odewald KMU on the acquisition of DPUW Deutsche Pflege und Wohnen AG, an operator of nursing homes. In 2011, the Cologne-based M&A team advised Odewald KMU on the acquisition of the Polytech group, one of the leading service providers in the field of ocular surgery, which supplies eye specialists who perform surgery with a comprehensive range of products in cataract surgery, and on the acquisition of the MEDIA CENTRAL group, a leading advertising logistics company.
