Heuking Kühn Lüer Wojtek advises Compleo on its merger with wallbe
With a team led by Dr. Oliver Böttcher and Kristina Schneider from the Cologne office, Heuking Kühn Lüer Wojtek advised Compleo Charging Solutions AG on its merger with wallbe GmbH. Closing of the transaction and the merger of the operating businesses of Compleo and wallbe are expected by the end of April. The merger of the companies, which complement each other in their products and services, is expected to create a major provider of charging solutions in Europe and is designed to strengthen Compleo’s and wallbe’s leading position in the German market and in Europe.
Compleo will acquire 100% of the shares in wallbe in exchange for about one third in Compleo shares, with about two thirds to be paid in cash from existing liquidity. wallbe’s two previous and largest owners, enercity AG (about 50%) and Weidmüller Mobility Concepts GmbH & Co. KG (about 26%), as well as Dr. Dominik Freund, will be new Compleo shareholders.
Compleo is a leading provider of charging solutions for electric vehicles. The company supports complete solution providers with its charging stations and, if required, also with the planning, installation, maintenance, service, or backend of the charging infrastructure. Compleo’s offering includes both AC and DC charging stations. Compleo’s DC charging stations are the first DC charging stations on the market that comply with German calibration law. The company develops and manufactures all products at its Dortmund site. The manufacturer focuses on innovation, safety, consumer-friendliness, and cost-effectiveness. Compleo started production of the first charging stations in 2009. The fast-growing company is headquartered in Dortmund and currently employs more than 260 people. Compleo has been listed in the Prime Standard segment of Frankfurt Stock Exchange since October 2020 (ISIN: DE000A2QDNX9).
The Böttcher/Schneider team already advised the current majority shareholder and part of the management team on the acquisition of the stake in then EBG compleo GmbH at the end of 2019. In the context of the current merger, Compleo was comprehensively advised from acquisition, due diligence, contract documentation, including the exchange of shares, up to closing.
