Heuking Kühn Lüer Wojtek advises Odewald KMU on the sale of Heizkurier group and ARTUS group
A Cologne-based Private Equity Team of Heuking Kühn Lüer Wojtek advised investment firm Odewald KMU II on two exit transactions and on an add-on acquisition.
Odewald KMU sold Heizkurier group to NORD Holding. Within the framework of succession planning and growth financing, Odewald KMU had invested in Heizkurier in 2018. As co-founders of the market niche, Heizkurier holds a leading position in manufacturing and leasing of mobile heating solutions. During the partnership, the succession of the company founders was successfully implemented and Heizkurier was developed from an owner-managed family business into a market-leading, medium-sized company in mobile heating solutions.
With 110 employees at 13 sites, Heizkurier now generates revenue in excess of EUR 30 million, clearly exceeding the objectives that were set for the company at the beginning of the investment.
Advised by Heuking Kühn Lüer Wojtek, Odewald KMU also successfully sold its majority stake in ARTUS group to financial investor Castik Capital. ARTUS group is one of Germany’s leading restoration service providers in fire, water, and natural hazard damage as well as building drying and heating. With more than 350 employees at 24 sites, the company offers complete solutions for the entire renovation process and budgets total revenue of about EUR 130 million in fiscal 2022. The investment in ARTUS was made in May 2019. During the successful partnership, organizational structures were expanded and numerous organic growth initiatives implemented, including the takeover of teams at new sites. As part of an active buy-and-build strategy, four local competitors were also acquired and integrated into ARTUS group. Porta Westfalica-based Groß & Wiese Sanierungen GmbH & Co. KG was the most recent acquisition, on which the Heuking Kühn Lüer Wojtek team also advised Odewald KMU and ARTUS group.
Heuking’s Cologne-based M&A experts had already advised Odewald on the acquisition of the two investments and interim add-on transactions and continued to legally advise the two groups throughout.
Odewald KMU II Fonds has a volume of EUR 200 million and invests in high-growth medium-sized companies. It focuses on companies in the fields of “German engineering,” intelligent services, healthcare, and software/IT.
