HEUKING advises COGITANDA group on insolvency sale to DGC AG

A HEUKING team led by Partners Prof. Dr. Georg Streit (Lead overall, Restructuring), Dr. Marc Scheunemann (Lead M&A), and Rüdiger Schnug (Lead Insurance) advised the five insolvent entities of COGITANDA group (COGITANDA Dataprotect AG, COGITANDA Risk Prevention GmbH, COGITANDA Insurance Services GmbH, COGITANDA Claims Services GmbH, and COGITANDA Managed Services GmbH) on their sale to a subsidiary of DGC AG.

COGITANDA group is a leading European full-service provider for cyber risk management, offering a comprehensive range of solutions. Its services include the brokerage of cyber insurance, featuring proprietary product designs as an underwriting agent for multiple insurers, full claims management, preventive IT audits to mitigate losses for policyholders, and extensive support for affiliated brokers.

The sale was carried out as part of a transferring reorganization in insolvency. By order of Cologne Local Court, Philip Schober of Brinkmann & Partner was appointed insolvency administrator for the COGITANDA companies on March 1, 2025. The transaction was signed immediately upon the opening of the insolvency proceedings and received the approval of the creditors’ committee of COGITANDA Dataprotect AG. The business transfer became effective on March 1, 2025, and the purchase agreement has already been closed. The parties have agreed not to disclose the purchase price. The takeover ensures the continued employment of approximately 70 COGITANDA group employees, securing business continuity under new ownership.
