HEUKING advises Andreas Klein Vermögensverwaltung GmbH on the delisting of Splendid Medien AG
A team from HEUKING, led by Dr. Thorsten Kuthe, Partner at the firm’s Cologne office, and Dr. Timo Piller, Salaried Partner in Düsseldorf, advised Andreas Klein Vermögensverwaltung GmbH on its delisting takeover offer to the shareholders of Splendid Medien AG.
As part of the delisting agreement, the target company committed to apply for a delisting from the Regulated Market of the Frankfurt Stock Exchange before the takeover offer’s acceptance period ends. The transaction is expected to close in December 2024. The bidder is a wholly owned subsidiary of Andreas Klein, CEO of Splendid Medien AG.
Splendid Medien AG is a mid-sized, integrated media group active primarily in German-speaking Europe and the Benelux region. Splendid group’s operations are organized in two main segments: Content and Services. The Content segment encompasses licensing and trading of film rights, film distribution in movie theaters, and Home Entertainment channels such as DVD, Blu-ray, Video-on-Demand (VoD), and Electronic Sell-Through (EST), as well as film and TV production. The Services segment offers specialized support for the film and television industry, with a focus on digital transformation and dubbing services.
