Heuking Kühn Lüer Wojtek advises PE investor on acquisition of Räuchle Präzision

A team led by private equity lawyer Dr. Andreas Lenz, Partner at the Cologne office, advised Munich-based private equity investor SMC on the acquisition of Räuchle GmbH & Co KG out of insolvency. 
 
With some 350 employees, Räuchle Präzision manufactures high precision turned parts predominantly for the automotive sector at its Dietenheim (BW) production site. Following a structured sales procedure, SMC concluded a corporate acquisition agreement with the shareholders of Räuchle KG in December 2018 and subsequently accompanied the self-administration proceedings regarding Räuchle KG initiated in the same month as one of several possible investors. In the end, SMC prevailed as investor.
 
Heuking advised the acquiring company comprehensively on all aspects of the acquisition process in 2018 and 2019, including aspects of the insolvency plan and the winding up under insolvency law.
