Major shareholders sell about 89.5% of onoff AG shares to SpiraTec AG

With a team led by Dr. Mirko Sickinger, Partner at the Cologne office, Heuking Kühn Lüer Wojtek advised on the sale of a controlling majority in onoff Aktiengesellschaft to SpiraTec AG, the new majority shareholder. The parties agreed not to disclose the purchase price. Heuking’s advisory services comprised the drafting of the contract and accompanying issues relating to stock corporation law and capital market law.

In connection with the sale, company founder Rolf Arneke resigned from his position as a member of the Supervisory Board. The future affiliation with SpiraTec group will offer considerable potential to onoff group’s business activities and their further expansion.

onoff AG develops solutions for process automation, digitalization, and artificial intelligence. The company focuses on the pharmaceuticals, food, chemicals, water/wastewater, natural gas and commerce sectors. More than 190 employees work at nine sites in Germany and abroad.
