TOM TAILOR Holding AG: Heuking Kühn Lüer Wojtek advises on SE transformation
TOM TAILOR Holding AG was transformed from a national stock corporation to a European company (Societas Europea) by merging with its Austrian subsidiary, TOM TAILOR Wien AG. A team led by Dr. Michael Sörgel advised TOM TAILOR comprehensively on all aspects of corporate and employment law upon the transformation into an SE. The move had been decided at the annual general meeting of the publicly listed fashion company in June 2015 and is now documented in the Commercial Register.
Employees from 14 European countries were represented by a negotiating body. The employee participation agreement stipulated among others to reduce the supervisory board to up to eight members.
TOM TAILOR group is operating in more than 35 countries with its brands "Tom Tailor" and "Bonita." In 2016, the group generated revenue of some EUR 968 million. TOM TAILOR group employs around 7,000 people worldwide.
