Heuking advises BGR on acquisition of ACC business from ENEXIO

A team led by Dr. Jörg Schewe, Partner at Heuking’s Hamburg office, advised ENEXIO Power Cooling Solutions India Private Limited (ENEXIO India/EI), a subsidiary of BGR Group, Chennai, on its acquisition of ENEXIO Germany’s ACC business from ENEXIO Management GmbH.

The transaction included the acquisition of ENEXIO Germany’s ACC business globally, the acquisition of IP assets as well as the ENEXIO brand and domain via newly established ENEXIO ACC GmbH (as an acquisition vehicle) in Germany, the relocation of ENEXIO China’s production facilities to India, the acquisition of 51% of the shares held by ENEXIO Germany in the (former) ENEXIO India (EI) joint venture by BGR Group, and a non-exclusive perpetual license for the wet cooling systems.

Established in 1996 under the name “GEA Cooling Tower Technologies” as a joint venture between BGR Group and GEA Energietechnik GmbH, Germany, ENEXIO India (EI) provides cooling solutions to the Indian industry, specifically for the Indian energy sector that is plagued by water scarcity. ENEXIO India (EI) is the market leader in the Indian dry cooling market and also offers alternative water-based solutions.
