Heuking advises Marienhaus on the acquisition of Caritas-Werk St. Martin GmbH in Mainz
A team led by Dr. Oliver von Rosenberg, Partner at Heuking Kühn Lüer Wojtek in Cologne, legally advised Marienhaus group (Marienhaus) on the acquisition of Caritas-Werk St. Martin GmbH in Mainz (CWSM). From January 2021, Marienhaus will be the sole administrative and operating body of Katholisches Klinikum Mainz (kkm) and Heilig-Geist-Hospital Bingen (hgh). The previous owner, Caritasverband für die Diözese Mainz, the Caritas Association for the Diocese of Mainz, will transfer all its shares, most recently 49%, to Marienhaus.
In addition to kkm and hgh, hgh Service GmbH is also a member of the charitable administrative and operating organization. Six percent of the shares of hgh in Bingen are held by the local Heilig-Geist-Hospital foundation.
As Marienhaus has been the majority shareholder of CWSM since 2014, the changes at shareholder level will have no effect on the range of services offered by the two hospitals or on the employment contracts. The close collaboration offers a good starting point and great potential for a future-oriented development as a specialized medical service provider as well as a basic and regular provider at both sites.
Based in Waldbreitbach, Marienhaus group is one of Germany’s largest Christian administrative and management bodies of social institutions. Its facilities are located in North Rhine-Westphalia, Rhineland-Palatinate, and Saarland, with a total of some 13,800 employees in the group.
