HEUKING advises Peter Möhrle Holding on the sale of GROFA
A team led by HEUKING Partner Dr. Peter Christian Schmidt legally advised Peter Möhrle Holding regarding the sale of GROFA Action Sports (Bad Camberg, Germany) to electronics group Darfon Electronics (Taoyuan City, Taiwan). Initially, the transaction involves the acquisition of 80% of the shares in GROFA Action Sports GmbH, founded in 1980, with an option to expand the holding to 100%.
GROFA Action Sports GmbH is a distributor specializing in bicycles, e-bikes, and their components, as well as bicycle and sports accessories. The company’s distribution network spans Germany, Austria, Belgium, the Netherlands, Luxembourg, and Poland, serving over 5,800 retailers and key accounts. GROFA currently represents 27 premium sports brands, focusing on brand development, brand management, and market expansion. In 2023, GROFA generated revenue in excess of EUR 100 million.
Darfon Electronics, a Taiwanese electronics group, specializes in the research and development, manufacturing, and sales of precision computer peripherals and components for green energy products. The acquisition represents Darfon’s first entry into the German market and a strategic expansion into the European e-bike sector.
The transaction is pending approval by antitrust authorities.
