mic AG acquires faytech AG with support by Heuking

With a team led by M&A lawyers Boris Dürr and Christian Schild, Heuking Kühn Lüer Wojtek advised Frankfurt Stock Exchange-listed mic AG on its acquisition of faytech AG, a leading manufacturer of touch solutions and touch technologies in the industrial environment. As all shares in faytech AG are acquired by way of a cash and a share component, mic AG will carry out a capital increase in kind after closing the transaction.

Boris Dürr and his team comprehensively advised mic AG on all legal aspects of the transaction, including transaction structuring, legal due diligence, purchase agreement documentation, and measures under stock corporation and capital market law to implement the transaction. Heuking regularly advises mic AG on transactions and issues relating to corporate law. The team led by Boris Dürr had also advised mic AG on its previous acquisition of Pyramid Computer GmbH and associated capital measures for financing.

Headquartered in Witzenhausen near Kassel, faytech AG focuses on the development, design, and manufacturing of touchscreen monitors and touchscreen PCs with optical bonding and antimicrobial coating, which are installed in POS kiosks, ticket vending machines, or fitness equipment. faytech products are developed, manufactured, and sold by some 350 employees, primarily in Germany, Asia, and North America.

mic AG has been listed on Frankfurt Stock Exchange since October 2006 and included in the Scale segment since March 2017. Following the acquisition of Pyramid Computer GmbH, based in Freiburg in Breisgau, a leading developer and manufacturer of IT solutions for the retail, financial, and industrial sectors, which was closed in 2020, mic AG has placed its business focus on the IT and electronics sector. Now, after closing the faytech AG acquisition, almost 500 employees in this business unit will work towards generating group revenue in excess of EUR 100 million.
