Heuking Kühn Lüer Wojtek advises CLEARUM on establishing a holding company
Medical technology specialist CLEARUM GmbH and Cheplapharm Arzneimittel GmbH founded a joint venture by the name of Med-Tec Holding GmbH. CLEARUM and its founders, Dr. Torsten Klein and Jens Sieder, were supported by a team led by Dr. Stefan Duhnkrack from Heuking Kühn Lüer Wojtek.
Cheplapharm initially acquired a 24.9% stake in CLEARUM by way of a capital increase and will acquire 24.9% of the joint medical technology company Med-Tec Holding GmbH.
The investment volume for the joint venture is about EUR 70 million. Up to 150 new jobs will be created in Mecklenburg-Western Pomerania in the coming years, with a focus on R&D. In addition, the holding company will manufacture medical technology products for use in autoimmune diseases, heart muscle diseases, sepsis, and kidney and liver diseases via other subsidiaries in the region. This is also designed to make it easier for both companies to access international markets and thus to increase their customer base.
CLEARUM GmbH, based in Poppendorf (district of Rostock), was founded in 2014 and has 160 employees. The medical technology specialist focuses on the manufacture of hollow fiber membranes for medical applications. Its customers are located all throughout Europe, the USA, and Asia.
Cheplapharm Arzneimittel GmbH was founded in 1998 and has been based in Greifswald since 2002. It has subsidiaries in Hamburg, Englewood (New Jersey), and France. The specialist for specialty pharmaceuticals has 180 employees and, including its subsidiaries, generates annual sales of EUR 250 million.
