Heuking Kühn Lüer Wojtek advises KTG Energie AG on capital increase
A team led by Dr. Mirko Sickinger, LL.M., Partner at the commercial law firm of Heuking Kühn Lüer Wojtek in Cologne, advised Hamburg-based KTG Energie AG on a capital increase under exclusion of subscription rights. The capital increase was fully subscribed within a short time, placing a total of 650,000 new shares at a subscription price of EUR 11.80 with institutional investors. The company intends to use the gross issue proceeds of EUR 7.67 million to take advantage of acquisition opportunities in the market and to finance its further expansion.
As a leading biogas producer, KTG Energie AG is actively participating in the energy transition by committing to an integrated, sustainable business model, where the production of renewable commodities does not in compete with food production. At the end of July 2014, with 85 employees, KTG Energie AG operated biogas plants with a total capacity in excess of 60 MW, which feed processed biogas directly into the natural gas grid and use biogas for the production of electricity. As of fiscal 2015/2016, this will result in a secure revenue base of EUR 90 million and an EBITDA base of EUR 28-29 million.
Heuking Kühn Lüer Wojtek advises the company on an ongoing basis, in particular in corporate and capital markets law, and had already advised it at its IPO in the Entry Standard in June 2012.
