Heuking Kühn Lüer Wojtek advises Lloyd Fonds AG on Capital Increase of EUR 15 Million
On October 21 2011, the Management Board of Lloyd Fonds AG, listed at Frankfurt Stock Exchange's Prime Standard, resolved with the consent of the Supervisory Board to propose to the next shareholders meeting the approval of a capital increase of up to EUR 15 million by issuing new shares with full preemptive subscription rights at a subscription price of EUR 1.00 per share.
As part of the capital increase, U.S. private equity firm AMA Capital Partners LLC via ACP Fund V LLC is seeking a share of up to 49.9 percent in Lloyd Fonds AG and agreed under certain conditions to underwrite all shares not issued to other shareholders from the capital increase up to a level of 49.9 percent. Lloyd Fonds AG was legally advised by Heuking Kühn Lüer Wojtek (Dr. Stefan Duhnkrack and Dr. Thorsten Kuthe) on negotiating the preliminary subscription contract and the drafting of the capital increase and the shareholders meeting, which is to be convened for the beginning of December, 2011.
