Heuking advises AGROFERT on the acquisition of Borealis’s Nitrogen Business
Czech-based AGROFERT Group submitted a binding offer for the acquisition of Borealis’s nitrogen business.
AGROFERT a.s is one of the leading European nitrogen fertilizer producers with manufacturing facilities in the Czech Republic, Germany and Slovakia. AGROFERT group comprises more than 240 companies worldwide, including SKW Stickstoffwerke Piesteritz GmbH and Lieken AG in Germany. Its group activities span from chemicals and agriculture to food production, renewable energy sources and media.
AGROFERT a.s. prevailed in a structured sales process and was invited to place a binding offer to acquire Borealis’s nitrogen business consisting of fertilizers, melamine and technical nitrogen products. The offer values the business on an enterprise value at EUR 810 million. Headquartered in Vienna, Austria, Borealis is part of OMV and one of the world’s leading providers of advanced and circular polyolefin solutions.
With a team lead by M&A specialists Dr. Martin Imhof, Partner at the Dusseldorf office, Heuking Kühn Lüer Wojtek advised AGROFERT on the German parts of the acquisition including the German production plants of Borealis. Wolf Theiss, Vienna acts as a lead counsel for the buyer.
By adding Borealis’s production assets in Austria, Germany and France as well as a comprehensive sales and distribution network, the nitrogen business of Borealis perfectly complements AGROFERT’s existing business operations and expands its existing capabilities.
The transaction is subject to regulatory and other approvals and expected to close in the second half of 2022.
