Heuking Kühn Lüer Wojtek advises on acquisition of assets of the business operations of Laserworking Garbsen GmbH

A team led by Private Equity lawyer Dr. Andreas Lenz, Partner at the Cologne office, advised Lenbach Equity Opportunities I SCSp, a PE fund resident in Luxemburg, on the acquisition of assets of Laserworking Garbsen GmbH in liquidation.

Laserworking Garbsen GmbH had previously been operating in the field of laser forming for industrial customers; the company had to file for insolvency in September 2017. Subsequently, the Company transferred assets of its business operations to a newly established subsidiary acquired by an SPV of Luxemburg-based PE fund Lenbach Equity Opportunities I SCSp with effect from January 1, 2018.

The transaction also included the conclusion of agreements on internal financing of the acquiring SPV, the advice of the buyer relating to insolvency law, the structuring and support of personnel measures, the adaptation and renegotiation of material operating agreements for the new business operations, as well as advice relating to the new financing structure.
