Heuking Kühn Lüer Wojtek advises Royalbeach Spielwaren und Sportartikel Vertriebs GmbH on corporate bond
A team led by Dr. Thorsten Kuthe and Madeleine Zipperle, both from the Cologne office of the commercial law firm of Heuking Kühn Lüer Wojtek, legally advised Royalbeach Spielwaren und Sportartikel Vertriebs GmbH, a leading provider of fitness equipment in Germany, on issuing a corporate bond of up to EUR 25 million Euro.
The bonds have an annual yield of 7.375 percent over the term of five years. The subscription period will begin on October 9, 2015 and is expected to end on November 5, 2015. The corporate bond is expected to be included in open market trading at Munich Stock Exchange as of November 11, 2015. Institutional investors may subscribe directly at ACON Actienbank in its capacity as bookrunner of a parallel private placement. Private investors in Germany, Austria, and Luxemburg may place buy orders via their private or custodian banks registered to trade at the Munich marketplace.
Royalbeach intends to use the proceeds from the bond issue to expand sales structures, to expand its presence on the North American market and to drive growth in Asia, and to expand its market position in its core business areas. Another objective is the refinancing of the 2011/2016 bond for which Royalbeach offers existing investors a conversion right. In the period from October 9 to November 5, 2015, investors have the opportunity to exchange their 2011/2016 bonds into 2015/2020 bonds. In addition, 2011/2016 bond investors may also purchase the new bond on preferential terms, for which a tranche of EUR 5 million is reserved.
Royalbeach Spielwaren und Sportartikel Vertriebs GmbH, headquartered in Kirchanschöring in Bavaria, has been selling fitness, outdoor, and leisure products, as well as products in the retirement and nursing areas and LED bulbs since 1989. The marketing and service ranges comprise the entire value chain along the trading process. In addition to the Kirchanschöring headquarters, the company has offices in Salzburg, Hong Kong, and Chicago.
