AL-KO acquires majority interest in STEMMER IMAGING Group with Heuking Kühn Lüer Wojtek
Led by Boris Dürr, Heuking Kühn Lüer Wojtek advised AL-KO AG on the acquisition of 75.04% in STEMMER IMAGING GmbH. Effective June 30, 2017, AL-KO took over the shares from Wilhelm Stemmer, the company's founder. STEMMER Group management will stay on and will take out 24.96% in STEMMER IMAGING GmbH as part of the transaction.
STEMMER Group is Europe's leading provider of image processing technologies for use in industry and science (machine vision). Employing over 250 at ten European sites, the company generates annual revenue of about EUR 85 million.
AL-KO AG is the parent company of internationally operating AL-KO Kober Group, which specializes in ventilation and air conditioning technology, garden technology, vehicle technology, and electrical engineering. In acquiring the stake in Stemmer Group, AL-KO is expanding its range of services by an Industrial 4.0 division.
Heuking Kühn Lüer Wojtek comprehensively advised AL-KO throughout the transaction that was carried out via a bidding procedure, starting with transactional structuring, through due diligence, up to drafting and negotiating the contract documentation, including management participation. The team led by Boris Dürr had already advised ALKO on the acquisition of a majority stake in Steca Elektronik GmbH in 2016.
